Continuation of the association

(1) Where an association has been dissolved by expiry of time or by resolution of the highest representative body, the highest representative body may, so long as distribution of the assets among the persons entitled has not yet begun, resolve on the continuation of the association. The resolution requires a majority of three-quarters of the votes cast, unless the articles of association provide otherwise. It requires the approval of the supervisory authority; the supervisory authority must notify the registry court of the approval.
(2) The same applies where the association was dissolved by the opening of insolvency proceedings, but the proceedings were discontinued on the association's application, or lifted following confirmation of an insolvency plan providing for the association's continued existence.
(3) The liquidators must register the continuation of the association for entry in the commercial register; when doing so, they must demonstrate that distribution of the association's assets among the persons entitled has not yet begun.
(4) The continuation resolution has no effect until it has been entered in the commercial register at the association's registered office.
