(1) A surplus shown by the balance sheet is distributed to the members specified in the articles of association, insofar as it is not, under the articles of association, to be allocated to the loss reserve or other reserves, used for the distribution of remuneration, or carried forward to the next financial year. Section 214(2) remains unaffected.
(2) The articles of association must specify what standard is to be applied for the distribution, and whether the surplus is to be distributed only to the members existing at the end of the financial year, or also to departed members.
