Documents for the application

(1) The application for entry in the commercial register must be accompanied by: 1. the document evidencing the authorisation to conduct business, 2. the articles of association, 3. the documents evidencing the appointment of the management board and the supervisory board, 4. a list of the members of the supervisory board, signed by the applicants, showing the surname, first name, occupation, and place of residence of the members, 5. the documents evidencing the establishment of the founders' fund, together with a declaration by the management board and the supervisory board stating to what extent and in what manner the founders' fund has been paid in and that the amount paid in is finally at the free disposal of the management board, and 6. an overview stating whether expenditure is to be covered by contributions levied in advance or by contributions apportioned subsequently and, where contributions are to be levied in advance, whether additional calls are reserved or excluded, whether the contribution obligation is limited, and whether the insurance claims may be reduced.
(2) Section 12(2) of the Commercial Code applies correspondingly to the submission of documents under this Act.
