Contracts by which the association's insurance portfolio is to be transferred, wholly or in part, to another undertaking require, for their effectiveness, the consent of the highest representative body. The resolution requires a majority of three-quarters of the votes cast, unless the articles of association provide otherwise. The amount of a settlement payment under section 201 must be resolved on at the same time as the consent. The resolution must fix the standards according to which the settlement payment is to be distributed among the members.
