Reservation to the statutes for individual provisions

(1) The following provisions require inclusion in the statutes: 1. that the cooperative is limited to a particular period; 2. that acquisition and continuance of membership is tied to domicile within a particular district; 3. that the business year, in particular the first, is measured as a year not coinciding with the calendar year, or as a period shorter than one year; 4. that the general meeting may resolve on particular matters not by a simple majority but by a larger majority or subject to further requirements; 5. that the extension of the business operations to persons who are not members of the cooperative is permitted.
(2) The statutes may determine that persons who do not come into consideration for the use or production of the goods, or the use or provision of the services, of the cooperative may be admitted as investing members. They must ensure, by suitable provisions, that investing members can in no case outvote the other members, and that resolutions of the general meeting for which a majority of at least three-quarters of the votes cast is prescribed by statute or by the statutes cannot be prevented by investing members; for this purpose the statutes may also wholly exclude the voting right of investing members. The admission of an investing member requires the consent of the general meeting; by way of derogation, the statutes may prescribe the consent of the supervisory board instead. The number of investing members on the supervisory board may not exceed one-quarter of the members of the supervisory board.
