Section 11

Application for registration of the cooperative

(1) The management board must apply to the court for the cooperative to be entered in the register of cooperatives.
(2) The application must be accompanied by: 1. the statutes, which a) must be signed by at least three members, or b) must be combined with an assurance of the management board that the statutes submitted correspond to the statutes resolved by the founding meeting, together with a declaration in text form by at least three persons that they became members of the cooperative at the founding meeting; 2. a copy of the instruments concerning the appointment of the management board and the supervisory board; 3. the certificate of an auditing association that the cooperative is admitted to membership, together with an expert opinion of the auditing association as to whether, according to the personal or economic circumstances, in particular the asset position of the cooperative, an endangerment of the interests of the members or the creditors of the cooperative is to be feared.
(3) The application must further state what power of representation the members of the management board have.
(4) For the submission of documents under this Act, section 12(2) of the Commercial Code applies correspondingly.
