(1) The general meeting must be convened without delay where at least one-tenth of the members, or the lesser part designated for this purpose in the statutes, demand the convening in text form, stating the purpose and the reasons. Members on whose demand a representative meeting is convened may take part in that meeting with the right to speak and to move motions. The statutes may lay down provisions to the effect that the right to speak and to move motions at the representative meeting may be exercised only by one or more proxy holders elected from among the participating members.
(2) The members are equally entitled to demand that matters be announced for resolution at a general meeting. Members on whose demand matters are announced for resolution at a representative meeting may take part in that meeting, with the right to speak and to move motions in respect of those matters. Subsection (1), third sentence applies.
(3) Where the demand is not complied with, the court may authorise the members who made the demand to convene the general meeting or to announce the matter. The judicial authorisation must be published together with the convening or the announcement.
