(1) The application for registration of a legal person whose entry in the Commercial Register is required with regard to the purpose or to the nature and size of its commercial operation is to be filed by all members of the board of management.
(2) The statutes of the legal person, and the originals or officially certified copies of records and documents concerning the appointment of the board of management, are to be attached to the application for registration; furthermore, indication is to be made of the powers of representation that the board of management members have. The business name and the seat of the legal person, the purpose of the enterprise, the members of the board of management and their powers of representation are to be stated when the entry is made in the Commercial Register. Special provisions of the statutes concerning the duration of the enterprise also are to be registered.
(3) Registration of establishment of a branch office is to be applied for by the board of management.
(4) The provision of section 37a applies accordingly to legal persons within the meaning of subsection (1).
