Section 298

Publication duties and ongoing information duties for EU UCITS

(1) For units or shares in EU UCITS notified for marketing under section 310, the EU UCITS management company or the UCITS capital management company must publish the following documents and particulars within the scope of this Act in German or in a language customary in international financial circles: 1. the annual report as at the close of every financial year, 2. the half-yearly report, 3. the sales prospectus, 4. the investment conditions or the articles of association, 5. the issue and redemption prices of the units or shares, and 6. other documents and particulars required to be published in the EU UCITS's home Member State. The key investor information under Article 78 of Directive 2009/65/EC must be published in German without alteration from the version used in the home Member State. The requirements described in the first and second sentences also apply to any changes to the information and documents named. The provisions of the EU UCITS's home Member State apply correspondingly to the frequency of publication of the issue and redemption price.
(2) In addition to publication in an information medium to be named in the sales prospectus, investors must, correspondingly to section 167, be informed without delay by means of a durable medium of 1. the suspension of the redemption of units or shares of an investment fund; 2. the termination of the management of an investment fund or its winding-up; 3. amendments to the investment conditions that are not compatible with the previous investment principles, or amendments disadvantageous to investors relating to material investor rights, or amendments disadvantageous to investors relating to the remuneration and reimbursement of expenses that may be taken from the investment fund, including the background to the amendments and investors' rights, in a comprehensible manner; in doing so, investors must be told where and in what manner further information on this may be obtained, 4. the merger of investment funds, in the form of merger information to be prepared under Article 43 of Directive 2009/65/EC, and 5. the conversion of an investment fund into a feeder fund, or a change of master fund, in the form of information to be prepared under Article 64 of Directive 2009/65/EC.
