(1) Investment stock corporations with fixed capital may be operated only in the legal form of a stock corporation. The provisions of the Stock Corporation Act apply, save as otherwise follows from the provisions of this Subdivision and, with regard to sections 182 to 240 of the Stock Corporation Act, from the articles of association of the investment stock corporation with fixed capital.
(2) Section 23(5), sections 150 to 158, 161, and 278 to 290 of the Stock Corporation Act do not apply.
(3) Section 93(7), section 96(1), section 117(1), (2), (4), and (6) to (9), and section 118(1), second sentence, and (2), apply correspondingly to investment stock corporations with fixed capital. Investment conditions must be prepared for each sub-fund. For retail sub-funds, these investment conditions must contain at least the particulars under section 266(2). The investment conditions, and any amendments to them, must be approved by the Federal Institute under section 267. For special sub-funds, the investment conditions, and material amendments to the investment conditions, must be submitted to the Federal Institute under section 273.
