(1) The AIF capital management company must prepare, for the closed-ended retail AIF managed by it, the sales prospectus and, unless the closed-ended retail AIF is marketed exclusively to professional investors, the key information document under Regulation (EU) No 1286/2014. As soon as the AIF capital management company is permitted to commence marketing of the closed-ended retail AIF under section 316, it must make the current version of the sales prospectus and of the key information document under Regulation (EU) No 1286/2014 accessible to the public on the AIF capital management company's website. The duty to prepare a sales prospectus does not apply to closed-ended AIF retail investment stock corporations that must prepare a prospectus under Regulation (EU) 2017/1129 of the European Parliament and of the Council of 14 June 2017 on the prospectus to be published when securities are offered to the public or admitted to trading on a regulated market, and repealing Directive 2003/71/EC (OJ L 168, 30.6.2017, p. 12), and include the particulars under section 269 in this prospectus additionally, as supplementary information.
(2) The particulars of material significance in the sales prospectus must be kept up to date. For closed-ended retail AIF with a single marketing phase, this applies only for the duration of the marketing phase.
