Section 133

Variable capital, termination of limited partnership interests

(1) Limited partners may terminate their limited partnership participation in full or in a partial amount. Where a limited partner gives notice, he or she acquires a claim for settlement against the open-ended investment limited partnership in the amount of his or her terminated share of the value of the partnership's assets, less, where applicable, the expenses incurred by the open-ended investment limited partnership. The right to give notice under the first sentence exists, for the internally managed open-ended investment limited partnership, only where satisfying the settlement claim would not cause the partnership's assets to fall below the amount of the initial capital and the additional own funds required under section 25. The details of the notice are governed by the partnership agreement. Section 98(1a) to (5) and section 283(3) apply correspondingly to the restriction, in the partnership agreement, of investors' right to give notice under the first sentence.
(2) Satisfying the settlement claim is not regarded as a repayment of the limited partner's contribution. From the time of withdrawal, the withdrawn limited partner is not liable for liabilities of the open-ended investment limited partnership.
