(1) Where the resolution conditions under section 62 or section 64 are satisfied, the resolution authority may, in accordance with sections 108 to 137, direct in the resolution order that 1. the shares issued by an institution or group entity under resolution, or part or all of the assets of an institution or group entity under resolution, including its liabilities, be transferred to a) a third party (business sale tool), or b) a bridge institution (tool of transfer to a bridge institution), 2. part or all of the assets of an institution or group entity under resolution, including its liabilities, be transferred to an asset management vehicle (tool of transfer to an asset management vehicle).
(2) The objects of transfer are the shares, assets, liabilities, and legal relationships transferred.
(3) Shareholders and creditors of the transferring legal entity, and other third parties whose assets, liabilities, or legal relationships are not transferred under this provision, have no rights whatsoever in respect of the objects of transfer. There is no entitlement to a transfer.
