Submission of annual financial statements, management reports, and audit reports

(1) Institutions must draw up the annual financial statements for the past financial year within the first three months of the financial year, and must each submit the drawn-up annual financial statements, and later the adopted annual financial statements, and the management report, to the Federal Institute and the Deutsche Bundesbank without delay, in accordance with the second sentence. The annual financial statements must bear the auditor's certificate or a note stating that the certificate has been refused. The auditor must submit the report on the audit of the annual financial statements (audit report) to the Federal Institute and the Deutsche Bundesbank without delay after the audit is completed. For credit institutions belonging to a cooperative audit association, or audited by the audit office of a savings bank and giro association, the auditor need submit the audit report only on the Federal Institute's request.
(2) Where an additional audit has taken place in connection with a protection scheme, the auditor or the audit association must submit the report on that audit to the Federal Institute and the Deutsche Bundesbank without delay.
(3) An institution that draws up consolidated financial statements or a consolidated management report must submit these documents to the Federal Institute and the Deutsche Bundesbank without delay. The parent undertaking of a financial holding group within the meaning of section 10a, a mixed financial holding group within the meaning of section 10a, or a financial conglomerate must submit consolidated financial statements or a consolidated management report without delay where the financial holding company at the head of the financial holding group, or the mixed financial holding company at the head of the mixed financial holding group or the financial conglomerate, draws up consolidated financial statements or a consolidated management report. The auditor of the consolidated financial statements must submit the audit reports on the consolidated financial statements and consolidated management reports named in the first and second sentences to the Federal Institute and the Deutsche Bundesbank without delay after completing the audit. For credit institutions belonging to a cooperative audit association, or audited by the audit office of a savings bank and giro association, the auditor need submit the audit report only on the Federal Institute's request.
(4) The provisions of subsection (3) apply correspondingly to individual financial statements under section 325(2a) of the Commercial Code.
