(1) Shareholders who have lodged an objection to the minutes against the resolution on the target transaction may, within a period of two months from the adoption of the general meeting resolution under section 46(1), demand the transfer of their shares to the company against payment of an amount equal to the cash contribution made, plus the premium paid (redemption right).
(2) Section 71(1), no. 3 and (2), first sentence of the Stock Corporation Act applies to the permissible acquisition of own shares, with the proviso that the upper limit is 30 per cent of the share capital, where the shares are used to satisfy shareholders' claims arising from the redemption right under subsection (1).
(3) Section 71(2), second sentence and section 57(1) and (2) of the Stock Corporation Act do not preclude satisfaction of the redemption right. It is not to be regarded as a payment that corresponds, within the meaning of section 27(4) of the Stock Corporation Act, to the repayment of a contribution.
