Notification obligations for small and medium-sized securities institutions

(1) A small or medium-sized securities institution that holds a licence for the services under section 2(2), no. 10 or section 2(3), no. 2, or that trades for its own account within the meaning of section 17(1), must notify the Central Credit Register maintained at the Deutsche Bundesbank quarterly (observation period) of borrowers (borrowers under a loan of EUR 1 million or more) whose loan volume is EUR 1 million or more (reporting threshold for loans of EUR 1 million or more). Section 14(2) to (4) and sections 19 and 20 of the Banking Act, and Parts 2 and 3 of the Regulation on Large Exposures and Loans of EUR 1 Million or More, apply correspondingly.
(2) A small or medium-sized securities institution must submit to the Deutsche Bundesbank, without delay after the end of each quarter, information on its financial situation (financial information). The Deutsche Bundesbank forwards the particulars, together with its comments, to the Bundesanstalt; the Bundesanstalt may dispense with the forwarding of particular particulars. The Bundesanstalt may, in an individual case, shorten the period for submitting individual items of information or all of the information.
(3) A medium-sized securities institution must notify the Bundesanstalt and the Deutsche Bundesbank annually of:
1. the information necessary for a comparison of remuneration trends and practices within the meaning of Article 34(1) of Directive (EU) 2019/2034 as in force on 27 November 2024, where its on- and off-balance-sheet assets, measured as an average over the preceding four financial years, exceed EUR 300 million, or where it is required to do so by the Bundesanstalt or the Deutsche Bundesbank; the comparison also covers remuneration trends and practices with regard to members of the management or supervisory body; and
2. information on managers, members of the management or supervisory body, and staff, each with total annual remuneration of at least EUR 1 million, within the meaning of Article 34(4) of Directive (EU) 2019/2034 as in force on 27 November 2024, necessary for aggregated publication by the European Banking Authority. (4) A medium-sized securities institution whose on- and off-balance-sheet assets, measured as an average over the preceding four financial years, exceed EUR 300 million, or that is required to do so by the Bundesanstalt or the Deutsche Bundesbank, must notify the Bundesanstalt and the Deutsche Bundesbank every three years of:
1. the information on the gender pay gap necessary for the purposes of Article 34(1) of Directive (EU) 2019/2034 as in force on 27 November 2024; and
2. the information for the comparison of diversity at institutions necessary for the purposes of Article 26 of Directive (EU) 2019/2034 as in force on 27 November 2024.
