Scope

(1) This Act contains supplementary provisions to Regulation (EU) 2017/1129 of the European Parliament and of the Council of 14 June 2017 on the prospectus to be published when securities are offered to the public or admitted to trading on a regulated market, and repealing Directive 2003/71/EC (OJ L 168, 30.6.2017, p. 12), with regard to 1. exemptions from the obligation to publish a prospectus; 2. the securities information sheet; 3. prospectus liability and liability in respect of securities information sheets; 4. the responsibilities and powers of the Federal Financial Supervisory Authority (Bundesanstalt); and 5. the sanctioning of infringements of a) the provisions of this Act; b) Regulation (EU) 2017/1129. It does not apply to a public offer of the kind described in Article 1(4)(k) of Regulation (EU) 2017/1129.
(2) This Act also contains supplementary provisions to Regulation (EU) 2023/2631 of the European Parliament and of the Council of 22 November 2023 on European Green Bonds and optional disclosures for bonds marketed as environmentally sustainable and for sustainability-linked bonds (OJ L, 2023/2631, 30.11.2023), as amended by Regulation (EU) 2023/2869 (OJ L, 2023/2869, 20.12.2023), with regard to 1. the powers of the Bundesanstalt; 2. the sanctioning of infringements of the provisions of Regulation (EU) 2023/2631.
